Terms and Conditions

These Terms and Conditions constitute a legally binding agreement between you, whether acting personally or on behalf of an entity (hereinafter referred to as ‘you’ or the ‘User) and C.E.A. CIRCULAR ECONOMY ALLIANCE LTD of Loui Loizou, 4, Latsia, 2221, Nicosia, Cyprus (hereinafter referred to as the ‘CEA’  the ‘Company’ or  ‘we’, ‘us’, or ‘our’ ), governing your access to and use of CEA’s website (hereinafter referred to as the ‘Website) available at www.circulareconomyalliance.com together with any associated platforms, digital services, educational content, certification programs, applications, or related services provided by CEA (collectively referred to as the ‘Services).

By accessing or using the Website or Services, you confirm that you have read, understood, and agreed to be bound by these Terms and Conditions. If you do not agree with these Terms and Conditions, you must immediately discontinue use of the Website and Services.

Supplemental terms, policies, notices, or additional conditions that may be published on the Website from time to time are hereby expressly incorporated into these Terms and Conditions by reference. CEA reserves the right to modify or update these Terms and Conditions at any time and at its sole discretion.

It is your responsibility to periodically review these Terms and Conditions in order to remain informed of any updates or modifications. Continued use of the Website or Services following the publication of revised Terms and Conditions constitutes acceptance of such revisions.

The Website and Services are not intended for distribution to or use by any person or entity in any jurisdiction where such distribution or use would be contrary to applicable laws or regulations or would subject CEA to any registration or regulatory requirement within such jurisdiction.

Persons accessing the Website or Services from jurisdictions outside Cyprus do so on their own initiative and are solely responsible for compliance with any applicable local laws and regulations.

1. Terms and Conditions

  1. Certain Services, products, certification programs, educational offerings, or digital content provided by CEA may be subject to additional or separate contractual terms, registration conditions, or product-specific policies. Where applicable, such additional terms shall supplement these Terms and Conditions and shall prevail in the event of any inconsistency or conflict.
  2. Any conflicting, deviating, or supplementary terms proposed by a User shall not apply unless expressly accepted in writing by CEA.
  3. CEA reserves the right to amend or update these Terms and Conditions from time to time. Where material changes are made, Users may be notified through the Website or other appropriate communication channels. Continued use of the Website or Services following such amendments constitutes acceptance of the revised Terms and Conditions.
  4. Subject to compliance with these Terms and Conditions, CEA grants Users a limited, revocable, non-exclusive, non-transferable, and non-sublicensable licence to access and use the Website and Services solely for lawful and authorized purposes.

2. User account

 

2.1 Eligibility and Registration

In order to register for an account on the Website and access the Services, you must:

  1. be at least eighteen (18) years of age and legally capable of entering into binding agreements;
  2. complete the applicable registration process;
  3. agree to comply with these Terms and Conditions; and
  4. provide accurate, complete, and up-to-date legal, personal, and contact information.

2.2 Account Registration and Acceptance

By registering for a CEA account through the Website and providing the information required for registration and use of the Services, you acknowledge and agree that:

  1. you have read, understood, and agreed to be bound by these Terms and Conditions; and
  2. you are responsible for ensuring that any person accessing or using your Account complies with these Terms and Conditions.

2.3 Account Responsibility and Security

You are responsible for maintaining the confidentiality and security of your Account credentials and for all activities conducted through your Account. Any action performed through your Account shall be deemed to have been carried out by you.

You agree to ensure that access to your Account is limited to authorized persons only. CEA shall not be liable for any loss, damage, unauthorized access, misuse, or liability arising from or related to the fraudulent, unlawful, or unauthorized use of your Account.

2.4 Suspension and Restriction of Access

CEA reserves the right, at its sole discretion and without prior notice or liability, to suspend, restrict, terminate, or refuse access to the Website, Services, or any User Account at any time.

CEA further reserves the right to remove, restrict, edit, or refuse any content submitted, published, or shared through the Website, affiliated platforms, or associated communication channels, including social media pages, where deemed necessary or appropriate.

3. Services

3.1. Subject to these Terms and Conditions, CEA grants Users a limited, non-exclusive, non-transferable, non-sublicensable, worldwide, and revocable right to access and use the Services solely for lawful, authorized, and internal personal or business purposes.

3.2. Access to or use of the Services is provided on the basis of the functionality and features available at the time of use. Users acknowledge and agree that access to the Services is not contingent upon the future availability of any additional functionality, feature, course, certification program, or related service.

3.3. Services may include:

i. Accessing, purchasing, and participating in educational content, training products, certification programs, and e-learning courses;
ii. Accessing research materials, publications, articles, blogs, and other Circular Economy-related resources made available through CEA platforms;
iii. Submitting stories, articles, blogs, research contributions, or other content to CEA resource centres or communication platforms;
iv. Participating in the Circular Economy Alliance network, community initiatives, events, or related collaborative activities; and
v. Creating and maintaining a visible organizational or professional presence within the CEA network or directory, subject to applicable policies and approval requirements.

4. Fees and Payments

4.1. CEA provides certain Services, certification programs, educational content, and digital offerings on a paid basis. Applicable fees, charges, and pricing information (‘Charges’) are published on the Website or otherwise communicated in connection with the relevant Service or offering.

4.2. By purchasing or accessing paid Services, you agree to pay all applicable Charges in accordance with these Terms and Conditions and any additional payment conditions communicated at the time of purchase.

4.3. If a payment transaction is declined, unsuccessful, or cannot be processed for any reason, CEA reserves the right to suspend or restrict access to paid Services or account features until payment has been successfully completed.

4.4. CEA reserves the right to introduce, modify, suspend, or discontinue paid Services, features, pricing structures, or Charges at any time. Where applicable, Users will be informed of material pricing changes in advance through the Website, email communication, or other appropriate channels.

4.5. All Charges are calculated and payable in EURO (€). Users are responsible for any taxes, duties, bank charges, currency conversion costs, or similar fees applicable to their use or purchase of the Services, except where applicable law requires CEA to collect or remit such taxes directly.

5. Refunds

5.1. CEA provides digital educational content, certification programs, and online Services which become accessible immediately upon activation or access to the respective content.

5.2. In accordance with applicable European Union consumer protection legislation, Users may request a refund within fourteen (14) days from the date of purchase, provided that access to the digital content or Services has not commenced.

5.3. Once a User has accessed, downloaded, initiated, or otherwise interacted with any digital content, educational material, certification program, examination, or online Service provided by CEA, the User acknowledges and agrees that the statutory withdrawal right no longer applies, and the User shall no longer be eligible for a refund. By accessing or initiating the digital content or Services, the User expressly consents to the immediate performance of the digital Services and acknowledges that the statutory right of withdrawal is thereby waived to the extent permitted under applicable law.

5.4. CEA does not provide partial refunds for partially completed courses, certification programs, or Services.

5.5. Notwithstanding the above, CEA remains committed to providing fair customer support and may review exceptional refund requests on a case-by-case basis at its sole discretion.

6. Cancellations and Termination

6.1. User Withdrawal Rights

i. Users have the right to withdraw from a purchase within fourteen (14) days from the conclusion of the contract without providing a reason, provided that access to the digital content or Services has not commenced.
ii. To exercise the withdrawal right, Users must notify CEA through a clear written declaration before the expiry of the applicable withdrawal period.
iii. Where a valid withdrawal request is received, CEA shall process the applicable refund within fourteen (14) days from receipt of the withdrawal notification.

6.2. No Automatic Renewal

i. CEA Services, certification programs, or subscriptions shall not automatically renew unless expressly stated otherwise at the time of purchase.

6.3. Termination by CEA
CEA reserves the right, at its sole discretion, to suspend, restrict, or terminate access to the Website, Services, or any User Account where:

i. the User breaches these Terms and Conditions or applicable laws;
ii. the User acts in a manner indicating inability or unwillingness to comply with these Terms and Conditions;
iii. CEA is required to do so by law or regulatory obligation;
iv. continued provision of the Services is no longer commercially or operationally viable; or
v. CEA elects to discontinue all or part of the Services.

6.4. Effect of Termination

Upon termination, CEA may suspend, restrict, delete, anonymize, or otherwise deactivate the User Account and associated content or data in accordance with applicable legal and operational requirements.

Where termination results from a User breach of these Terms and Conditions or applicable laws, no refund shall be issued.

7. Rights and User Restrictions

7.1. Ownership of Services and Content

Unless expressly stated otherwise in these Terms and Conditions, all content, materials, documents, educational resources, certification materials, digital content, software, graphics, text, logos, trademarks, learning modules, examinations, and Services made available through the Website (collectively, the ‘CEA Content’) are owned by or licensed to CEA and remain the sole and exclusive property of CEA or its licensors.

Subject to full payment of all applicable fees and continued compliance with these Terms and Conditions, CEA grants Users a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to access and use the CEA Content solely for personal, non-commercial, and authorized educational purposes in connection with the Services.

Except for the limited rights expressly granted herein, no ownership rights, intellectual property rights, or other licences are transferred or assigned to Users.

7.2. Documentation and Educational Materials

CEA may provide Users with educational materials, manuals, guides, certification documentation, reference materials, downloadable resources, or related content (‘Documentation’) as part of the Services.

All rights, title, and intellectual property rights relating to such Documentation remain the sole and exclusive property of CEA or its licensors.

7.3. Restrictions on Use

Users shall not, directly or indirectly:

i. reproduce, copy, distribute, publish, sublicense, sell, assign, or otherwise commercially exploit any part of the Services, CEA Content, or Documentation;
ii. modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Services or CEA Content;
iii. upload, share, post, or make available any CEA Content or Documentation on external websites, platforms, repositories, or communication channels without prior written authorization from CEA;
iv. remove, alter, or obscure any copyright, trademark, proprietary notice, or intellectual property designation;
v. use automated systems, scripts, bots, scraping technologies, data mining tools, or similar technologies to access, extract, monitor, or reproduce Website or Service content;
vi. use the Services or CEA Content in violation of applicable laws, regulations, export restrictions, or third-party rights;
vii. use the Services or CEA Content to develop, support, or provide competing educational products, certification programs, or commercial services;
viii. circumvent or attempt to circumvent security measures, access restrictions, or technological protections implemented by CEA;
ix. use the Services to upload, distribute, or transmit unlawful, infringing, harmful, abusive, defamatory, threatening, obscene, or otherwise inappropriate content; or
x. permit unauthorized third parties to access or use the Services through their Account or credentials.

CEA reserves all rights not expressly granted under these Terms and Conditions.

Nothing in this section shall limit any mandatory rights granted to Users under applicable law, including applicable European Union legislation concerning the legal protection of computer programs and digital content.

7.4. Trademarks and Branding

Users acknowledge and agree that all company names, logos, trademarks, service marks, certification names, design marks, slogans, and related branding elements displayed through the Website or Services (‘Marks’) are owned by CEA or its licensors and are protected under applicable intellectual property laws.

Users are not authorized to use any Marks without the prior written consent of CEA.

7.5. No Transfer of Ownership

Use of the Website, Services, CEA Content, Documentation, or Marks does not transfer any ownership rights or intellectual property rights to Users. All such rights remain exclusively vested in CEA or its respective licensors and suppliers.

7.6. Feedback

Any comments, suggestions, ideas, recommendations, or feedback submitted to CEA relating to the Website, Services, certification programs, or CEA Content (‘Feedback’) may be used by CEA without restriction or compensation.

Users hereby grant CEA a worldwide, perpetual, irrevocable, royalty-free, transferable licence to use, reproduce, modify, distribute, and incorporate such Feedback into its Services, educational content, products, or operations.

8. General Principles

8.1. CEA reserves the right to modify, suspend, discontinue, restrict, or update any part of the Website, Services, educational content, certification programs, affiliated platforms, or communication channels at any time and without prior notice.

8.2. Users acknowledge that access to the Website or Services may occasionally be interrupted due to maintenance, technical issues, updates, security reasons, or circumstances beyond CEA’s control.

8.3. Unless expressly authorized in writing by CEA, Users may not use the Website, Services, or affiliated platforms to advertise, market, promote, or distribute products, services, or third-party commercial content.

8.4. Users shall comply with CEA’s Acceptable Use Policy and ensure that any person accessing the Services through their Account also complies with these Terms and Conditions and related policies.

8.5. CEA processes personal data in accordance with its Privacy Policy and applicable data protection legislation, including the General Data Protection Regulation (GDPR). By using the Website or Services, Users acknowledge and agree to the collection, use, and processing of personal data as described in the Privacy Policy.

8.6. Users are responsible for ensuring that all personal data provided to CEA is accurate, lawful, and up to date.

9. Technical requirements and responsibility

9.1. Users are responsible for ensuring that the technical requirements necessary to access and use the Website and Services are met.

9.2. This includes, where applicable:

i. compatible devices,
ii. internet connectivity,
iii. browser software,
iv. operating systems,
v. firewall configurations; and
vi. any necessary technical adjustments or updates required for proper access to the Services.

9.3. Users are solely responsible for any internet connection costs, device requirements, or related technical expenses.

9.4. CEA does not guarantee that the Website or Services will be compatible with all devices, operating systems, browsers, or configurations.

10. Intellectual Property Rights

10.1. Ownership of Intellectual Property

All intellectual property rights relating to the Website, Services, certification programs, educational content, examinations, downloadable materials, documents, graphics, text, videos, logos, trademarks, designs, course materials, learning modules, software, and all related content made available by CEA (collectively, the ‘CEA Content’) are owned by or licensed to CEA and remain the sole and exclusive property of CEA or its licensors.

Nothing in these Terms and Conditions shall transfer or assign any ownership rights or intellectual property rights to Users.

10.2. Limited Licence to Use

Subject to full payment of all applicable fees and continued compliance with these Terms and Conditions, CEA grants Users a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to access and use the Website, Services, and CEA Content solely for personal, non-commercial, educational, or authorized internal business purposes, strictly in accordance with these Terms and Conditions.

The licence granted under this section does not constitute a sale or transfer of ownership rights in any CEA Content, Services, or intellectual property.

10.3. Restrictions on Use of CEA Content

Except as expressly permitted under these Terms and Conditions or with prior written authorization from CEA, Users shall not reproduce, distribute, commercially exploit, share, publish, modify, sublicense, or otherwise use any part of the Website, Services, examinations, certification materials, or CEA Content beyond the limited rights expressly granted under these Terms and Conditions.

All operational, technical, and usage restrictions relating to the Website and Services are further governed by Section 7 (Rights and Use Restrictions) and Section 11 (Acceptable Use Policy).

10.4. Educational and Certification Use

CEA Content, certification materials, examinations, and learning resources are provided exclusively for the personal educational development and certification purposes of the individual User or the authorized organization purchasing access to the Services.

Users shall not redistribute, resell, reproduce, commercially exploit, or use CEA Content for unauthorized training, consulting, instructional, or commercial purposes without prior written consent from CEA.

10.5. User-Submitted Content

Any intellectual property rights relating to content, materials, comments, articles, testimonials, feedback, or other submissions uploaded or provided by Users (‘User Content’) shall remain the property of the respective User or rights holder.

By submitting User Content to CEA, Users grant CEA a worldwide, royalty-free, non-exclusive, transferable licence to use, reproduce, publish, display, distribute, adapt, and use such User Content for operational, educational, promotional, administrative, research, community, or Website-related purposes.

10.6. Attribution and Copyright Notices

Where CEA Content identifies CEA or third-party contributors as authors, licensors, or rights holders, such attribution, copyright notices, trademarks, and acknowledgements must not be removed, altered, or obscured.

10.7. Trademarks and Branding

All company names, logos, certification names, trademarks, service marks, slogans, branding elements, and related visual identifiers displayed through the Website or Services (‘Marks’) are owned by CEA or its licensors and are protected under applicable intellectual property laws.

Users are not authorized to use any Marks without the prior written consent of CEA.

10.8. No Access to Source Code

Users acknowledge that they are granted access only to the functionality and content of the Website and Services and are not entitled to access any source code, software architecture, databases, or underlying technologies associated with the Website or Services.

10.9. Unauthorized Use and Remedies

Any unauthorized use of the Website, Services, CEA Content, certification materials, examinations, trademarks, or intellectual property may constitute a violation of applicable intellectual property laws and these Terms and Conditions.

CEA reserves the right to suspend or terminate access to the Services and pursue any legal remedies available under applicable law, including injunctive relief, damages, recovery of costs, and enforcement actions relating to unauthorized use, misuse, infringement, or unlawful distribution of CEA Content.

11. Acceptable Use Policy

11.1. Users may access and use the Website and Services only for lawful purposes and in accordance with these Terms and Conditions.

11.2. Users shall not:

i. use the Website or Services in violation of applicable laws or regulations;
ii. engage in fraudulent, misleading, abusive, or unlawful conduct;
iii. upload or distribute malicious software, viruses, spyware, harmful code, or disruptive technologies;
iv. attempt to gain unauthorized access to systems, servers, networks, or accounts;
v. interfere with the operation, functionality, security, or availability of the Website or Services;
vi. misuse support services or submit false reports or information;

viii. impersonate another person or create Accounts using false information; or
ix. use the Website or Services in any manner inconsistent with these Terms and Conditions.

12.1. The Website may contain links to third-party websites, applications, resources, or content. CEA does not control, monitor, endorse, or assume responsibility for any third-party websites or content and shall not be liable for any loss or damage arising from their use.

12.2. Users accessing third-party websites or services do so at their own risk and remain responsible for reviewing the applicable terms, privacy policies, and practices of such third parties.

13. Website Management, Suspension and Enforcement 

13.1. CEA reserves the right, but not the obligation, to:

i. monitor the Website and Services for violations of these Terms and Conditions;
ii. investigate suspected unlawful, abusive, or unauthorized activity;
iii. restrict, suspend, remove, disable, or terminate access to Accounts, content, or Services;
iv. remove or disable content deemed inappropriate, unlawful, excessive, or harmful to the operation of the Website; and
v. take any legal or operational action deemed necessary to protect CEA, its Users, the Website, or the Services.

13.2. Failure to comply with these Terms and Conditions or the Acceptable Use Policy may result in suspension or termination of access, removal of content, legal action, reporting to competent authorities, or other appropriate enforcement measures.

14. Website Availability, Interruptions and Modifications 

14.1. The Website and Services are provided on an ‘as is’ and ‘as available’ basis.

14.2. CEA does not guarantee uninterrupted, error-free, secure, or continuous availability of the Website or Services and shall not be liable for interruptions, delays, errors, technical failures, maintenance downtime, cyber incidents, or circumstances beyond its reasonable control.

14.3. CEA reserves the right to modify, suspend, discontinue, restrict, or update any part of the Website or Services at any time without prior notice.

15. Corrections 

15.1. While CEA makes reasonable efforts to ensure the accuracy of information available on the Website, the Website may occasionally contain typographical errors, inaccuracies, omissions, or outdated information.

15.2. CEA reserves the right to correct, modify, update, or remove any information on the Website at any time and without prior notice.

16. Privacy

16.1. CEA processes personal data in accordance with applicable data protection legislation and its Privacy Policy.

16.2. Users providing personal data relating to third parties warrant that they have obtained all necessary consents and authorizations required for such disclosure and processing.

16.3. Users agree to indemnify CEA against liabilities, claims, penalties, or costs arising from non-compliance with applicable data protection obligations.

17. Term and Termination

17.1. These Terms and Conditions remain in effect for as long as Users access or use the Website or Services.

17.2. CEA reserves the right, at its sole discretion and without prior notice, to suspend, restrict, or terminate access to the Website, Services, or any User Account where:

i. these Terms and Conditions are breached,
ii. unlawful or unauthorized activity is suspected,
iii. required by law or regulation,
iv. or operational, technical, or commercial considerations make continued access inappropriate.

17.3. Upon termination, CEA may suspend, deactivate, anonymize, or delete Accounts and associated content or data in accordance with applicable legal and operational requirements.

17.4. CEA further reserves the right to pursue any legal remedies available under applicable law, including injunctive relief, damages, or recovery of costs arising from violations of these Terms and Conditions.

18. Warranties

18.1. CEA makes reasonable efforts to maintain the accuracy, reliability, and availability of the Website, Services, and CEA Content. However, unless expressly stated otherwise in writing, the Website, Services, certification programs, educational content, and all related materials are provided on an ‘as is’ and ‘as available’ basis.

18.2. To the fullest extent permitted by applicable law, CEA makes no representations, warranties, or guarantees, whether express or implied, regarding:

i. the uninterrupted availability of the Website or Services;
ii. the accuracy, completeness, reliability, or suitability of any content;
iii. fitness for a particular purpose;
iv. compatibility with specific devices or systems; or
v. the absence of errors, defects, viruses, or harmful components.

18.3. Nothing in these Terms and Conditions excludes warranties or rights that cannot lawfully be excluded under applicable law.

19. Limitation of Liability

19.1. To the fullest extent permitted by applicable law, CEA shall not be liable for any indirect, incidental, consequential, exemplary, special, punitive, or economic losses arising out of or in connection with:
i. the use of or inability to use the Website or Services;
ii. reliance on Website content or CEA Content;
iii. interruptions, delays, errors, or technical failures;
iv. loss of data, revenue, profits, business opportunities, goodwill, or reputation; or
v. unauthorized access to or use of User Accounts or data.

19.2. Users acknowledge that use of the Website, Services, certification programs, examinations, educational materials, and CEA Content is undertaken at their own risk.

19.3. While CEA implements reasonable technical and organizational measures to protect the Website and User data, CEA does not guarantee that the Website, Services, servers, or communications will be completely secure, uninterrupted, or free from cyber threats, unauthorized access, or harmful components.

19.4. CEA shall only be liable for damages resulting from:
i. willful misconduct;
ii. gross negligence; or
iii. negligent breach of essential contractual obligations.

19.5. In the event of a negligent breach of essential contractual obligations, liability shall be limited to reasonably foreseeable damages typical for this type of agreement.

19.6. Nothing in these Terms and Conditions shall exclude or limit liability:
i. for death or personal injury caused by negligence;
ii. for fraud or fraudulent misrepresentation;
iii. for violations of mandatory consumer protection laws; or
iv. where liability cannot lawfully be excluded or limited under applicable law.

19.7. Any limitation or exclusion of liability under these Terms and Conditions shall also apply to CEA’s affiliates, directors, officers, employees, contractors, representatives, licensors, and agents.

19.8. If any provision of these Terms and Conditions is found to be unlawful, invalid, or unenforceable, such provision shall be deemed severable and shall not affect the validity or enforceability of the remaining provisions.

20. No Waiver

20.1. Failure or delay by CEA to exercise or enforce any right, remedy, or provision under these Terms and Conditions shall not constitute a waiver of such right or remedy.

21. Previous Terms and Conditions

21.1. These Terms and Conditions supersede any prior versions relating to the use of the Website or Services unless expressly stated otherwise by CEA.

22. Notices

22.1. All notices, communications, or requests relating to these Terms and Conditions shall be submitted to CEA in writing via email using the contact details provided on the Website or otherwise communicated by CEA from time to time.

22.2. Any notice shall be deemed received:
i. on the same business day if sent during normal business hours; or
ii. on the next business day, where sent outside business hours, on weekends, or on public holidays.

23. Governing Law and Jurisdiction

23.1. These Terms and Conditions and any dispute or claim arising out of or in connection with them, the Website, or the Services shall be governed by and construed in accordance with the laws of the Republic of Cyprus.

23.2. Users irrevocably agree that the courts of Nicosia, Cyprus shall have exclusive jurisdiction to settle any dispute or claim arising out of or relating to these Terms and Conditions, the Website, or the Services.
